Job DescriptionSUMMARYReporting directly to the Vice President,
Associate General Counsel (Commercial/Contracts), this position
will be part of a collaborative team working directly with our
internal business partners, including senior corporate executives,
to help solve business problems, review contracts and generally
drive successful business outcomes. In particular, this position is
responsible for providing practical advice and legal expertise to
business clients in departments throughout our organization
including: Marketing, Procurement, Information Technology, Supply
Chain, Merchandising, Advertising, Finance and Accounting,
Commercial Sales and Customer Support. The work will also include
trademark analysis and review, as well as management of the
company's overall intellectual property portfolio. Knowledge and
experience in implementing emerging technology and next generation
legal processes a major plus.Work assignments consist of major and
complex commercial transactions, contract negotiation, drafting and
associated review work and other legal tasks. Considerable legal
judgment and experience, a detailed understanding of our company
and business along with outstanding communication and analytical
skills are required.ESSENTIAL DUTIES AND RESPONSIBILITIES include
the following:
- Advise executives and management on business decisions and the
impact of legal considerations.
- Interpret and provide counsel to internal business and
functional partners regarding contractual obligations and
requirements of applicable law and regulations.
- Review, analyze and negotiate complex commercial agreements,
including transactions relating to: domestic and international
supply chain, merchandising (including revenue recognition, defects
and product returns), marketing and sponsorship, professional
consulting services, technology, information technology (including
SaaS agreements), e-commerce, telecommunications, transportation,
customer sales and human resources.
- Design, evaluate and update terms and conditions of internal
templates used with both customers and suppliers.
- Collaborate with business and marketing teams to develop,
review and implement marketing and branding strategies.
- Analyze and advise on trademark-related issues; manage and
maintain company s intellectual property portfolio.
- Assist Associate General Counsel and other Team members in
designing and implementing systems, processes and procedures
designed to streamline and improve quality of contract review and
other Team functions.
- Monitor and maintain awareness of pending and existing
legislation, regulations and developments that are relevant to the
Company s business interests and operations, particularly relating
to contracts/commercial legal matters.
- Help assure company compliance relating to certain regulatory
matters such as trade and global sourcing, pricing and antitrust
and safety; advise business teams re same.
- Review and analyze inquiries from regulatory authorities and
their agents; assist in preparation and delivery of responses.
- Develop legal strategies and planning in response to commercial
issues or disputes; work closely with business partners to
negotiate and resolve these matters.
- Engage and manage outside counsel, as needed.
- Develop and conduct training materials/classes on assigned
topics.
- Provide support for Litigation, M&A, Compliance and other
Legal Teams, as needed. QUALIFICATIONSTo perform this job

manage fees/expenses on a proactive basis.
- High level of reasoning ability required.
- Ability to define problems, make relevant inquiries, collect
and analyze complex data and conflicting viewpoints, establish
facts and draw valid conclusions, as well as make strategic
decisions and persuasive arguments.
- Ability to deal with a variety of abstract and concrete
variables. EDUCATION and/or EXPERIENCEJuris Doctorate (J.D.) degree
from an accredited law school required, and at least 8-10 years
experience practicing law in a law firm and/or corporate
environment.SUPERVISORY RESPONSIBILITIESNoneCERTIFICATES, LICENSES,
REGISTRATIONSMust have valid license to practice law issued from
the North Carolina Board of Law Examiners or the equivalent
governing body in another U.S. State. Must meet annual continuing
legal education and other requirements needed to maintain 'Active'
status in the applicable state.The position is intended to be
located in the Raleigh, NC offices of the Company, although remote
work arrangements will be considered.PHYSICAL DEMANDSThe physical
